1. Introduction

These Terms of Use (“Terms”) govern your access to and use of Lipochat, a SaaS live-chat product operated by PEZONS IT LLC, including lipochat.com, the embeddable website chat widget, web agent panel, APIs, billing tools, and companion apps (including the Lipochat iOS app, Android app, and desktop apps) (together, the “Services”).

By creating an account, signing in to an app, embedding the widget, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Lipochat.

2. The Service

Lipochat provides live chat software for websites and teams. Features may include:

  • Website chat widget and visitor messaging
  • Team inbox, agents, and saved replies
  • AI Assist knowledge replies (on eligible plans)
  • Billing, funds, subscriptions, and invoices
  • Companion apps for Android, iOS, macOS, and Windows

Available features depend on your active plan and whether billing is current. We may improve, add, or remove features with reasonable notice when material to paid plans.

3. Accounts & Eligibility

You must provide accurate registration details and keep login credentials secure. You are responsible for activity under your account, including team members (agents) you invite. You must be able to form a binding contract and use Lipochat only for lawful business or organizational support purposes. We may suspend accounts used for abuse, credential sharing that harms the platform, or harm to visitors.

4. Acceptable Use

You agree not to use Lipochat to:

  • Spam, harass, phish, or distribute malware
  • Scrape visitors or collect data unlawfully
  • Place the widget on websites you do not control or lack permission to modify
  • Violate applicable laws, third-party rights, or app-store rules applicable to your use of companion apps
  • Attempt to probe, disrupt, or overload our infrastructure except as part of an authorized security engagement

5. Customer Content & Visitor Data

You retain rights to your chat content, website materials, and visitor data you collect through the widget. You grant us a limited license to host, process, transmit, and display that content solely to provide and secure the Services. You are responsible for lawful collection notices and bases for processing visitor data on sites you control.

6. Trials, Plans & Billing

New accounts may receive a time-limited Starter trial. Paid plans (Basic / Professional) are purchased from account balance. You may choose billing lengths of 30, 180, or 365 days. Renewing the same plan extends the existing expiry by the selected days and keeps the original plan start date.

  • Fund requests require admin verification of your payment reference
  • Plan purchases and fund credits appear under Transactions
  • Transactional emails may be sent from noreply@lipochat.com
  • Fees are generally non-refundable except as stated in our Refund Policy or required by law

7. Availability & Support

We aim for reliable uptime but provide the Services “as is” without guarantees of uninterrupted operation. Maintenance, hosting issues, or third-party outages may temporarily affect chat delivery. Support is available via https://www.lipochat.com/contact and support@lipochat.com.

8. Intellectual Property

Lipochat software, branding, and site content remain our property. You retain rights to your chat content and website materials. You grant us a limited license to process that data solely to operate the Services.

9. Disclaimer & Limitation of Liability

To the fullest extent permitted by law, Lipochat is not liable for indirect, incidental, or consequential damages, lost profits, or lost data arising from use of the Services. Our total liability for a claim is limited to the fees you paid us for the Services in the three months before the claim.

10. Termination

You may stop using Lipochat anytime. We may suspend or terminate access for violations of these Terms, non-payment after trial/plan expiry, or legal requirements. After expiry, panel and app access may be limited to billing pages until you renew. Provisions that by nature should survive (including IP, liability limits, and unpaid fees) continue after termination.

11. Changes

We may update these Terms. Continued use after changes means you accept the updated Terms. Material changes are reflected by the “Last updated” date on this page.
